1. Agreement to Terms

Welcome to Elevate Agency AI LLC. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Client," "you," or "your") and Elevate Agency AI LLC ("Company," "we," "us," or "our"), governing your access to and use of our website, services, and AI-powered agency infrastructure platform.

By accessing or using our services, submitting a contact form, or engaging with our team, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the revised Terms.

2. Eligibility

To use our services, you must meet all of the following eligibility requirements:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under any applicable laws or regulations
• Provide accurate, current, and complete information when creating an account or submitting forms
• Have the authority to bind any business entity you represent to these Terms
• Not have been previously suspended or removed from our services

3. Age Restriction

You must be at least 18 years of age to use this Service or to sign up for SMS notifications. By opting into Elevate Agency AI LLC's text messaging program, you represent and warrant that you are at least 18 years old. If you are under the age of 18, you are not permitted to use our services, submit any forms, or opt in to receive SMS messages from us.

4. Description of Services

Elevate Agency AI LLC provides comprehensive, done-for-you AI-powered agency infrastructure services. Our services are designed to build, launch, and fully manage profitable AI agencies on your behalf, including but not limited to:

• Website Build: Professional agency websites built to convert
• AI Agent Deployment: Custom AI solutions for your clients
• Lead Infrastructure: Systems to generate and manage leads
• Sales Systems: Processes and tools to close deals
• Dedicated Support: Ongoing assistance and optimization
• PEAK System: Our proprietary framework for agency success

The specific services provided to you will be outlined in a separate service agreement, statement of work, or during your onboarding process.

6. User Obligations and Responsibilities

As a valued client of our services, you agree to:

• Provide accurate, current, and complete information during onboarding
• Maintain the confidentiality of your account credentials
• Respond to communications within reasonable timeframes (typically 48-72 hours)
• Comply with all applicable laws, regulations, and platform policies
• Not use our services for any illegal, fraudulent, or unauthorized purposes
• Not attempt to reverse engineer or replicate our proprietary systems

7. Payment Terms

Our fees and pricing structure will be clearly outlined in your individual service agreement before you commit. All prices are quoted and payable in US Dollars (USD) unless otherwise specified.

We accept various secure payment methods including major credit cards, debit cards, ACH bank transfers, and wire transfers. All payments are processed through PCI-compliant third-party payment processors.

Late payments may result in service suspension, late fees (up to 1.5% monthly on overdue amounts), and potential termination of services.

8. Intellectual Property Rights

All content, features, and functionality of our website and services, including our AI systems, algorithms, methodologies, and processes, are the exclusive property of Elevate Agency AI LLC and are protected by intellectual property laws.

Upon full payment of all applicable fees, you will own the brand-specific assets created for your agency. Our proprietary systems and underlying technology remain our exclusive property.

9. Confidentiality

Both parties agree to maintain strict confidentiality of any proprietary information disclosed during our business relationship. This includes business strategies, financial information, customer data, and proprietary methodologies.

This confidentiality obligation survives termination of our agreement for a period of three (3) years.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Elevate Agency AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability shall not exceed the total amounts paid by you in the twelve (12) months preceding the claim
• We do not guarantee specific revenue, profit, or return on investment
• We are not responsible for delays caused by factors beyond our reasonable control

11. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to defend, indemnify, and hold harmless Elevate Agency AI LLC from any claims, liabilities, damages, and expenses arising out of:

• Your violation of these Terms or any applicable laws
• Your use or misuse of our services
• Your violation of any rights of a third party
• Any content or information you provide that infringes third-party rights

13. Termination

You may terminate your use of our services by providing written notice in accordance with your service agreement. We may terminate or suspend your access immediately for material breach of these Terms, non-payment, or conduct that harms our reputation.

Upon termination, your right to use our services will immediately cease. We will provide access to download your brand assets that you own pursuant to these Terms.

14. Dispute Resolution

Before filing any formal dispute, you agree to first attempt to resolve any dispute informally by contacting us. If informal resolution is unsuccessful, any dispute shall be resolved through final and binding arbitration administered by the American Arbitration Association.

CLASS ACTION WAIVER: YOU AND ELEVATE AGENCY AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER OR REPRESENTATIVE.

15. SMS/Text Messaging Terms

By opting in to our SMS program, you agree to receive text messages related to your agency services including service updates, performance alerts, and promotional offers (with your consent).

• Opt-Out: Text "STOP" to cancel at any time
• Help: Text "HELP" for assistance
• Frequency: Approximately 4-8 messages per month
• Rates: Message and data rates may apply
• Privacy: Your phone number will NEVER be sold or shared

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

17. Entire Agreement

These Terms, together with your individual service agreement, constitute the entire agreement between you and Elevate Agency AI LLC regarding your use of our services and supersede all prior agreements and understandings.
